The Corporation and the Electric Light Company: … (discussion of their competing submissions to the Board of Trade) … It should be remembered that the Company’s solicitors endeavoured unsuccessfully to call to the recollection of the Corporation certain conditions made when their clients first established themselves in Leamington and although the Corporation thought fit to disregard Messrs. Smith, Pinsent, and Co’s invitation to an amicable discussion, it remains to be seen whether or not it can legally repudiate the past. …

Leamington Spa Courier: Saturday 25th September 1897

Leamington Electric Lighting: [Letter to editor from Smith, Pinsent and Co., 6, Bennett’s Hill, Birmingham, 23rd September, 1897] … Sir, The attention of our clients, the Midland Electric Light and Power Company Limited, has been called to the report in your recent issue of the discussion on this subject in the Leamington Town Council, and in default of other opportunities they rely on your courtesy to allow them to reply through your columns. To contradict in detail the misstatements of the various speakers would necessitate a letter longer than we dare ask of you to insert, we would therefore only ask you to publish with this letter the enclosed “conclusions” taken from the report made in 1891 by the Board of Trade Inspector, Major Marindin. … (discussion of issues) … The solution of the difficulty is pointed out by Major Marindin, and weeks ago we wrote to the Town Clerk inviting a friendly conference, but it is obviously difficult, if not impossible to negotiate with a Corporation, some of whose members, in order to cheapen the undertaking they are advised to acquire, do not hesitate to repudiate as “illegal” their own agreement on the faith of which our client’s outlay has been made: Yours faithfully, Smith, Pinsent and Co. … “conclusion” … (discussion of disagreement) …

The Electric Light and Power Co. and the Leamington Corporation … A common ground of treaty seems to be cut away by the attitude of certain members of the Town Council. It is distinctly unpleasant to hear from Messrs. Smith, Pensent and co. that they “wrote to the Town Clerk weeks ago, inviting a friendly conference” and of the difficulty if not impossibility of negotiation “with a Corporation, some of whose members in order to cheapen the undertakings they are advised to acquire, do not hesitate to repudiate as “illegal” their own agreement on the faith of which our clients’ outlay was made.” … (continues) …
